Private Limited Company

A limited company is the most reputed form of doing business in today’s scenario. It is a separate legal entity, which is able to enter into contracts in its own name. Liabilities of the Company are the responsibility of the company – not the shareholders. Moreover legal compliance for Private Limited is less tedious when compared to Public Limited so it is preferred form of starting a new business. For incorporation of Private Company 2 DINs and 1 DSC is required.

Public Limited Company

A limited company is the most reputed form of doing business in today’s scenario. It is a separate legal entity, which is able to enter into contracts in its own name. Liabilities of the Company are the responsibility of the company – not the shareholders. Public Limited Company finds it easier to raise funds from Financial Institutions and General Public owing to stricter compliances it follows. For incorporation of Public Limited Company 7 DINs and 1 DSC is required.

Limited Liability Partnership (LLP)

A Limited Liability Partnership company is one of the most widely accepted form of company registration in west though in India it still has to gain momentum. As per the newsletter of ICAI, 2011 saw a phenomenal growth in the numbers of LLP companies being registered in India. The cost of forming such company is lesser than a Limited Company and compliances are slightly milder. For incorporation of LLP, we would be needing 2 DINs and 1 DSC.

Non-Government Organization (NGO)

  • NGO or is formed mainly for Pro Bono activities. There are 3 ways of registering a NGO viz.
  • Sections 25 of Companies Act: Has highest legal sanctity though compliances are the highest
  • Society: Compliances are relaxed compared to Section 25 NGO. Amul is the biggest society in India
  • Trust: Compliances are relaxed compared to Section 25 NGO. Normally schools etc. are formed as Trust in India

Partnership Firm

Firm may be a Proprietorship with sole Proprietor or may be Partnership with more than one partner. To start a business in limited area with incurring low cost, Firm is most desirable form of doing business. Liabilities of Firm are the responsibility of the Partners of the Firm. However legal compliance for Firm is very low in comparison to other form of business. Even a Company may be a partner of the Firm. There is no compulsion to register the Partnership Firm with Registrar of Firms. However, a Firm may be converted into Company later on if it wants to expand its operation and wishes to limit its liability of its members.
